Setting up a limited liability company Nederlands is very interesting because of the many benefits for the business owner. The limited liability structure is called ‘Besloten Vennootschap” or ‘BV’ in Dutch. The BV is one of the most common type of structures in the Netherlands. The structure is comparable with the American limited liability company and in Germany it is similar to the GmbH.
The requirements for starting a BV structure in the Netherlands are;
– The company is divided into shares and has one or more shareholder(s). Also the company needs at least one director, but can have more directors if you prefer. Both shareholders and directors can either be individuals or companies.
– In a BV company, there are no minimum shares.. Since October 2012 you are even allowed to have 100 equal shares of 0.01 if you prefer.
– Furthermore, for setting up a BV company structure in the Netherlands, you are required to have a registered office address in the Netherlands.
